Kelley C. Cox is a commercial litigation attorney with more than a decade of experience representing businesses and individuals in complex, high-stakes disputes across federal and state courts. His practice focuses on contract disputes, business torts, securities litigation, bankruptcy and restructuring matters, and real estate- and asset-based disputes.
Kelley has represented clients in significant commercial matters involving trade secret misappropriation, breach of contract, and successor liability, and played a key role in securing a favorable resolution in a $220 million securities fraud class action by developing the factual record on causation. He has also represented international investors and agents in disputes arising from EB-5 projects, including obtaining dismissal of federal claims.
His practice frequently involves multi-party disputes arising from business relationships, where claims for breach of contract, fiduciary duty, and fraud intersect with issues of control, financial rights, and operational decision-making. He also advises operationally complex businesses, including healthcare companies and private equity-backed ventures, on disputes involving contract enforcement, financial management, and regulatory considerations.
Kelley has substantial experience in restructuring and bankruptcy-related litigation, including Chapter 11 and Subchapter V proceedings, estate recovery actions, and fraudulent transfer claims. He has served as lead counsel in restructuring and litigation strategies involving multi-property real estate portfolios, coordinating asset-level disputes and overall disposition strategy.
Earlier in his career, Kelley advised clients in government investigations and regulatory matters involving the Department of Justice, the Securities and Exchange Commission, and compliance issues under the Foreign Corrupt Practices Act.
He has represented clients in arbitration proceedings before the American Arbitration Association, FINRA, and JAMS, as well as in post-arbitration enforcement actions in federal court.
Kelley earned his J.D. from the University of Texas School of Law and his B.A. in Economics from Brown University, where he was a First-Team All-Ivy League linebacker.
